Terms of Service
Last updated:
These Terms of Service (“Terms”) are an agreement between you and Hzmenly (operated by Ibrahim Jabareen) (“Hzmenly”, “we”, “us”). By creating an account or using the service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
1. Who we are
- Operator: Ibrahim Jabareen
- Entity type: Exempt dealer (Osek Patur)
- Address: 36 Musheirifa, Ma'ale Iron 3092000, Israel
- Email: support@hzmenly.com
2. The service
Hzmenly is software for appointment-based businesses. It includes a web dashboard for managing appointments, services, employees and hours, and an AI assistant that answers your customers on WhatsApp and books, reschedules and cancels appointments under rules you set. The service is offered to businesses only — not to consumers for personal use.
3. Eligibility and your account
- You must be at least 18 and authorised to act for the business you register.
- Keep your login details confidential. You are responsible for activity under your account.
- Give accurate information and keep it up to date — including your services, prices and working hours, which the AI assistant relies on.
4. Free trial
New accounts get a 14-day free trial. No payment details are required to start it, and you will not be charged automatically when it ends. If you do not choose a paid plan by the end of the trial, the account becomes restricted until you subscribe.
5. Plans, prices and payment
- Solo: ₪300 per month, up to 1 employee.
- Business: ₪449 per month, up to 5 employees.
- Pro: ₪649 per month, unlimited employees.
Prices are in New Israeli Shekels (ILS) and are final — as an exempt dealer (Osek Patur) we do not charge VAT.
- Paid plans are billed monthly in advance and renew automatically each month until cancelled.
- Payments are processed by our payment provider; we never see or store your full card details.
- If a payment fails and remains unpaid after a grace period, AI and booking features are suspended — your data is kept, and access is restored once payment is made.
- We may change prices with at least 30 days’ notice. A change applies from your next billing period after the notice period ends.
6. Cancellation and refunds
You can cancel at any time from the Billing page of the dashboard or by emailing support@hzmenly.com. Cancellation takes effect at the end of the current billing period, and you keep access until then. Refunds are described in our Refund Policy.
7. Your responsibilities
You are responsible for how you use the service with your customers. In particular, you must:
- comply with the WhatsApp Business Policy (opens in a new tab), Meta’s terms, and the law, including the Israeli Privacy Protection Law and the Communications Law (spam) provisions;
- tell your customers that you use an automated assistant and that their messages are processed by Hzmenly and its providers on your behalf, and have a lawful basis for that processing;
- not send marketing messages to customers who have not given the consent the law requires;
- not enter sensitive data (such as health data, ID numbers or payment details) into free-text fields;
- not misuse the service — for example by attempting to access other businesses’ data, disrupting or reverse-engineering the service, or using it for anything unlawful, deceptive or harmful.
8. The AI assistant
The AI assistant can make mistakes. It is designed to act only through the booking system and within your settings, and to hand conversations to you when it cannot help, but we do not guarantee that every reply is accurate or complete. You should review conversations and appointments in the dashboard and correct anything that is wrong. You remain responsible for the commitments made to your customers.
9. Third-party services
The service depends on third parties, including Meta (WhatsApp), our AI provider, our hosting provider and our payment provider. Connecting a WhatsApp number requires approvals from Meta that we do not control. We are not responsible for outages, policy decisions or account restrictions imposed by those third parties, including Meta restricting your WhatsApp number.
10. Your data and our role as processor
You own the data you and your customers put into the service. You grant us the rights needed to host and process it to provide the service. For your customers’ personal data we act as a processor (“holder”) on your behalf: we process it only to provide the service and on your documented instructions; keep it confidential; protect it with appropriate security measures; use only the sub-processors listed in our Privacy Policy (we will update that list before adding new ones); help you respond to data subject requests; notify you without undue delay of a security incident affecting it; and delete it after the account ends, as described in the Privacy Policy.
11. Our intellectual property
The service, software, design and the Hzmenly name and logo belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your subscription. WhatsApp is a trademark of Meta Platforms, Inc.; Hzmenly is not affiliated with or endorsed by Meta.
12. Availability and changes
We work to keep the service available but do not guarantee uninterrupted or error-free operation, and we may perform maintenance. We may improve or change features; if we remove a material feature you pay for, we will give reasonable notice and you may cancel.
13. Disclaimers
Except as expressly stated in these Terms and to the extent the law allows, the service is provided “as is”, without warranties of any kind, express or implied.
14. Limitation of liability
To the extent the law allows: (a) we are not liable for indirect, incidental or consequential damages, or for lost profits, revenue, customers or data; and (b) our total liability arising out of these Terms or the service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud or wilful misconduct.
15. Indemnity
You will compensate us for third-party claims arising from your breach of these Terms, your unlawful use of the service, or the content you or your customers send through it.
16. Suspension and termination
You may stop using the service at any time. We may suspend or close an account that seriously or repeatedly breaches these Terms, puts the service or others at risk, or where the law requires it — with prior notice where reasonably possible. On termination you can request an export of your data within 30 days, after which it is deleted as set out in the Privacy Policy.
17. Changes to these Terms
We may update these Terms. We will notify account owners of material changes at least 30 days before they take effect. If you continue to use the service after that date, the updated Terms apply. If you do not agree, you may cancel before they take effect.
18. Governing law
These Terms are governed by the laws of the State of Israel. The competent courts of Haifa have exclusive jurisdiction over any dispute arising from them.
